In accordance with the provisional clause 13 added to the Turkish Commercial Code, it has been set forth that for companies, except for the ones, in which the state, provincial special administration, municipality, village and other public legal persons and funds whose more than 50% shares belong to state; hold more than 50% shares directly or indirectly; it will only be possible to decide on the distribution of maximum 25% of the net profit for the year of 2019 until 30.09.2020,it will not be possible to decide on the distribution of the profits of the previous years and the free capital reserve and it will not be possible to grant the board of directors the power to distribute advance dividend.

Furthermore, it has also been regulated that if it has been decided to distribute dividend for the 2019 financial year in the general assembly meeting but the payment has not been made to the shareholders or a partial payment has been made, the payments exceeding the 25% of the net profit for the year 2019 will be postponed until 30.09.2020.

In this regard, in accordance with the Presidential Decree, numbered 2948 published in the Official Gazette dated 18 September 2020 and numbered 31248, it has been decided to extend the above stated period specified as 30.09.2020 for three months.

Bilindiği üzere, 6698 sayılı Kişisel Verilerin Korunması Kanununa (“Kanun”) göre kişisel verileri işleyen gerçek ve tüzel kişilerin Veri Sorumluları Siciline (“Sicil”) kayıt olması gereken tarihler Kişisel Verileri Koruma Kurulunca (“Kurul”) ilan edilmiştir.

Hazine ve Maliye Bakanlığından elde edilen 2019 yılı verilerine göre,01.10.2020 tarihi itibariyle henüz Veri Sorumluları Sicil Bilgi Sistemine (VERBİS) kayıt başvurusunda bulunmayan veya başvuruda bulunduğu halde bildirimini tamamlamayan veri sorumlularının olduğu Kurul tarafından tespit edilmiştir.

Kurul tarafından yapılan inceleme ve değerlendirme sonucunda; COVID-19 ile mücadele kapsamında fiili, teknik ya da hukuki imkânsızlık nedeniyle bazı veri sorumlularının Sicile kayıt yükümlülüğünü yerine getiremediği göz önüne alınarak, Veri Sorumluları Sicili Hakkında Yönetmelik ve Kanun uyarınca Kurul’a verilen yetki çerçevesinde, Sicil’e kayıt yükümlülüğünü yerine getirmemiş olan veri sorumlularına bu durumun bir yazı ile bildirilmesi Kurul’un 01.10.2020 tarihli ve 2020/760 sayılı kararı ile uygun bulunmuştur.

Söz konusu yazıyla Kurul tarafından kendilerine bildirilen süre içerisinde, ilgili veri sorumlularının Sicil’e kayıt yükümlülüğünü yerine getirmeleri gerekmektedir.

Bu kapsamda hatırlatılmalıdır ki VERBİS kayıt işlemleri devam etmektedir.
