WORKING PERMITS FOR FOREIGN SHAREHOLDERS AND DIRECTORS OF THE COMPANIES

SERMAYE ŞİRKETLERİNİN BORCA BATIKLIĞINA İLİŞKİN DEĞİŞİKLİK

The Communiqué Amending the Communiqué on the Procedures and Principles Regarding the Implementation of Article 376 of the Turkish Commercial Code numbered 6102 (the “Amendment Communiqué”), has been published in the Official Gazette numbered 31346, on 26 December 2020. With this Amending Communiqué, several options were granted to the corporations, which are in over-indebtedness.

 

It should be noted that, within the scope of this amendment, important regulations concerning two types of capital loss were regulated in particular.

 

First of these regulated circumstances of capital loss is the loss of the half of the sum of the company capital and legal reserves. Article 376 of the Turkish Commercial Code numbered 6102 (“TCC”) states that, in a case where the half of the sum of the company capital and legal reserve is unreciprocated, the board of directors shall invite the general assembly to a meeting and introduce remedial measures, in order to recover the company’s health. With the Amendment Communiqué, various remedial measures for such cases of capital loss were listed. In this scope, in article 6 of the Communiqué on the Procedures and Principles Regarding the Implementation of Article 376 of the Turkish Commercial Code numbered 6102 (the “Communiqué”), it is regulated that the managing body shall propose remedial measures to the general assembly such as complementing or increasing the capital, downsizing, or closing production units or departments, liquidating the subsidiaries and changing the marketing systems, in order to resolve or at least lessen the effects of the financial distress that the company is in.

 

The second case of capital loss, which was regulated by the Amendment Communiqué, is the loss of the company capital and legal reserves as a whole. By the Amendment Communiqué, the companies which are suffering such situation, are given another legal remedy before applying to the Commercial Court of First Instance for claiming bankruptcy. If it is determined that the company is over-indebted, remedial measures such as decreasing, increasing or complementing the capital can be taken. If none of these measures are exercised, the managing body of the company shall apply to the relevant court for bankruptcy. Thus, as a result of this amendment, the direct application for bankruptcy to the Commercial Court of First Instance is prevented. 

 

To summarize the amendments done with the Amendment Communiqué, several measures have been listed in order to serve as an example for the term remedial measures that is used in the Article 376 of the Turkish Commercial Code numbered 6102 (“TCC”). These listed measures are; complementing or increasing the capital, downsizing, or closing production units or departments, liquidating the subsidiaries and changing the marketing systems. As an addition to this amendment, various remedial measures are granted to the companies in the state of bankruptcy before they apply to the Commercial Court of First Instance.

6102 Sayılı Türk Ticaret Kanunu’nun 376’ncı Maddesinin Uygulanmasına İlişkin Usul ve Esaslar Hakkında Tebliğ’de Değişiklik Yapılmasına Dair Tebliğ (“Değişiklik Tebliği”), 31346 sayılı ve 26 Aralık 2020 tarihli Resmî Gazete’de yayımlanmıştır. Bu Değişiklik Tebliği kapsamında, borca batıklık durumundaki sermaye şirketlerine belirli kanuni olanaklar sağlanmıştır.

 

Belirtmek gerekir ki bu değişiklik kapsamında, temel olarak iki tür sermaye kaybı haline ilişkin önemli düzenlemeler getirilmiştir.

 

Düzenlenen sermaye kaybı hallerinden ilki, sermaye ve kanuni yedek akçeler toplamının yarısının kaybı halidir. 6102 Sayılı Türk Ticaret Kanunu’nun (“TTK”) 376. maddesinden, bir şirketin sermaye ve kanuni yedek akçeler toplamının yarısının karşılıksız kalması düzenlemekte olup bu durumda yönetim kurulu, şirket genel kurulunu toplantıya çağırmakla ve şirketin sağlığa kavuşturulması amacıyla genel kurula iyileştirici önlemler sunmakla yükümlü kılınmıştır. Değişiklik Tebliği ile (sayılanlar ile sınırlı olmamak üzere) söz konusu sermaye kaybı haline yönelik çeşitli önlemler listelenmiştir. Bu itibarla, 6102 Sayılı Türk Ticaret Kanunu’nun 376’ncı Maddesinin Uygulanmasına İlişkin Usul ve Esaslar Hakkında Tebliğ’in (“Tebliğ”) 6. maddesinde, yönetim organının, şirketin mali durumundaki kötüleştirmeyi ortadan kaldırmak veya en azından etkilerini hafifletmek amacıyla, genel kurula sermaye tamamlanması, sermaye artırımı, üretim birimlerini veya bölümlerini küçültme veya kapatma, iştiraklerin satımı ve pazarlama sistemlerinin değiştirilmesi gibi iyileştirici önlemleri sunacağı düzenlenmiştir.

 

Değişiklik Tebliği’nde yeniden düzenleme altına alınan sermaye kaybı hallerinden ikincisi ise şirket sermayesi ve kanuni yedek akçeler toplamının tamamının karşılıksız kalması halidir. Değişiklik Tebliği ile bu durumdaki şirketlere, Asliye Ticaret Mahkemesi’ne iflas isteminde bulunmadan önce başvurabilecekleri kanuni bir yol tanınmıştır. Şirketin borca batık durumda olduğuna karar verilmesi halinde sermaye azaltımı, arttırımı veya sermaye tamamlanması şeklindeki iyileştirici önlemlerden birinin alınması yoluna gidebilecektir, bu önlemlerden birinin alınamaması durumunda ise yönetim organı, şirketin iflasını ilgili mahkemeden isteyecektir. Bu değişiklik ile doğrudan Asliye Ticaret Mahkemesi’ne iflas isteminde bulunulmasının önüne geçilmiştir.

 

Yapılan yeniliklerin özetlenmesi gerekirse, bu değişiklik ile 6102 Sayılı Türk Ticaret Kanunu’nun (“TTK”) 376. Maddesinin birinci fıkrasında bahsi geçen iyileştirici önlemlere örnek teşkil edecek şu önlemler sunulmuştur; genel kurula sermaye tamamlanması, sermaye artırımı, üretim birimlerini veya bölümlerini küçültme veya kapatma, iştiraklerin satımı ve pazarlama sistemlerinin değiştirilmesi. Buna ek olarak iflas durumunda, istem için Asliye Ticaret Mahkemesi’ne gidilmeden önce iyileştirici önlemlere başvurma yolunun önü açılmıştır.
